// Buyer Success Fee Terms

How the 0.1% works.

What these Terms cover

These Terms set out the buyer success fee payable to NowDealSheet Ltd ("NowDealSheet") when a buyer is introduced to a seller through the NowDealSheet platform (the "Platform") and a transaction subsequently completes.

The buyer success fee

Where a transaction completes following an introduction made through NowDealSheet, the buyer agrees to pay NowDealSheet Ltd a success fee equal to 0.1% of the final transaction value.

When the fee is payable

The buyer success fee becomes due and payable upon completion of the transaction arising from the introduction. For these Terms, "Completion" means completion of the acquisition or other transaction relating to the introduced asset or interest, whether effected by an asset purchase, share purchase, acquisition of an entity or special purpose vehicle, portfolio transaction or other transaction structure.

When no fee is payable

No buyer success fee is payable where an introduction does not result in a completed transaction. NowDealSheet does not charge a success fee on aborted, withdrawn or expired transactions.

How the fee is calculated

The fee is calculated as 0.1% of the final transaction value in the currency of the transaction. "Final transaction value" means the aggregate consideration payable by or on behalf of the buyer in respect of the acquisition of the introduced asset or interest, whether the transaction is structured as an asset sale, share sale, portfolio sale or other equivalent structure.

Acknowledgement at the point of introduction

A buyer requesting an introduction must expressly acknowledge and accept these Terms before the introduction request can be submitted. The acknowledgement, together with the buyer's identity, the referenced deal, the fee rate (0.1%), the version of these Terms in force at the time, the timestamp, IP address and user-agent, is recorded as an immutable audit entry on the Platform.

NowDealSheet's role

NowDealSheet acts as an introducer only. NowDealSheet does not act as broker, agent, adviser or transaction manager, and does not hold, transmit, escrow, invest or otherwise handle funds passing between the introduced parties. Any fees payable to NowDealSheet Ltd under these Terms are payable directly and separately to NowDealSheet Ltd.

Non-circumvention

The buyer agrees that the success fee remains payable where the introduced buyer, or any party connected to the introduced buyer, transacts on the introduced deal within twenty-four (24) months of the introduction, whether directly or through a related party, nominee or successor. The definitions of connected and related parties are those set out in the NowDealSheet Standard NDA in force at the time of the introduction and are not broadened by these Terms.

Notification of completion

The buyer must notify NowDealSheet promptly when a transaction arising from an introduction made through the Platform completes and provide, on reasonable request, sufficient information to confirm the final transaction value for the purpose of calculating the buyer success fee.

Changes to these Terms

NowDealSheet may amend these Terms from time to time. Any amended Terms will be published on the Platform with a new version identifier and effective date. Amended Terms apply only to introductions made on or after the effective date of the new version. Introductions made under an earlier version remain permanently governed by the version in force at the time of the acknowledgement.

Governing law

These Terms are governed by the laws of England & Wales. Any dispute arising out of or in connection with these Terms is subject to the exclusive jurisdiction of the courts of England & Wales.
